Effective date: December 1, 2026
Article 1 (Purpose)
These Terms set forth the rights, obligations and responsibilities of TmaxTibero Co., Ltd. (hereinafter "Company") and Members, and other necessary matters, in connection with the use of the OwlAI cloud service (hereinafter "Services") provided by the Company.
Article 2 (Prior Notice on Generative AI)
① The Services are operated and provided on the basis of generative artificial intelligence, and outputs such as answers, meeting minutes, files and images (hereinafter "AI Outputs") are produced by generative artificial intelligence. The Company labels files and images produced by the Services as AI-generated. ② AI Outputs may be inaccurate or incomplete, and do not replace the advice of professionals in areas such as law, medicine, finance or tax. Members must review the content of AI Outputs themselves before using them. ③ If a Member finds an output that is or may be problematic, the Member may report it to the Company through the answer rating feature or the contact point.

Article 4 (Posting and Amendment of the Terms)
① The Company posts these Terms on the sign-up screen, the service screens and the Company website (https://owlai.cloud/legal/en/terms.html) so that Members can easily access them. Previous versions are available at https://owlai.cloud/legal/en/terms/. ② The Company may amend these Terms to the extent that it does not violate applicable laws. ③ When amending the Terms, the Company shall post a notice on the service screens at least 7 days before the effective date, specifying the effective date, the contents of the revision and the reasons for it. However, changes that are disadvantageous to Members will be posted at least 30 days in advance and notified to Members individually by email. ④ When the revised Terms take effect, the Company will ask Members to agree to them. Members who do not agree to the revised Terms may not continue to use the Services, and may terminate the Service Agreement. ⑤ Matters not specified in these Terms and the interpretation of these Terms shall be governed by the relevant laws, including the Act on the Consumer Protection in Electronic Commerce, the Act on the Regulation of Terms and Conditions, the Act on Promotion of Information and Communications Network Utilization and Information Protection, the Personal Information Protection Act, and the Framework Act on the Development of Artificial Intelligence and Establishment of Trust.

① The Service Agreement is concluded when an applicant agrees to these Terms, applies for registration, and completes verification through the email sent by the Company. The same applies to registration upon invitation to an Organization. ② The Services may be used only by persons who are adults under the laws of their country of residence, and are provided to Members in the Republic of Korea and Southeast Asia. ③ The Company may refuse an application or subsequently terminate the Service Agreement in any of the following cases.

- The applicant is not an adult
- The applicant's Service Agreement has previously been terminated for violation of these Terms
- Other application requirements set by the Company are not met
Article 6 (Organizations and Organization Administrators)
① Organization Administrators may invite and remove members, and determine members' permissions, the external services to be connected and usage limits. ② Organization Administrators may view, to the extent permitted by the Company, the Organization's audit logs and the conversations and run results that members have rated. ③ Content uploaded to an Organization may be visible to other members according to that Organization's settings and permissions. ④ Subscriptions are made per Organization, and Organization Administrators are responsible for starting and cancelling the Subscription.
Article 7 (Provision and Suspension of the Services)
① The Company provides services such as question answering and analysis using generative artificial intelligence, document and image generation, document storage and search, database connections, meeting transcription and minutes, and workflow automation. ② As a general rule, the Services are available 24 hours a day, 365 days a year. ③ The Company may temporarily suspend all or part of the Services due to maintenance, replacement or inspection of facilities, failures, natural disasters, or causes on the side of external partners such as AI model providers. In this case, the Company will give prior notice, or notice after the fact where prior notice is not possible for unavoidable reasons. ④ The Company may change the features of the Services or the AI models available. If the main contents of the Paid Services are changed to the disadvantage of Members, the Company will give notice at least 30 days in advance.
Article 8 (External Services)
① Members may connect services operated by third parties, such as external databases, cloud services and MCP servers (hereinafter "External Services"), to the Services, and the Services exchange information with External Services within the scope set by the Member. ② The use of External Services is subject to their own terms and privacy policies, and the Company is not liable for damage caused by External Services unless there is intent or gross negligence on the part of the Company.
Article 9 (Paid Services)
① Paid Services are available by Subscription through AWS Marketplace, and fees, billing and payment follow the product terms posted on AWS Marketplace and the billing procedures of Amazon Web Services. Where these Terms and the AWS Marketplace terms conflict regarding billing and payment, the AWS Marketplace terms prevail. ② Each plan has a set number of seats and a usage limit (credits), and once the limit is used up, some features may be restricted until the next usage period begins. ③ The Company provides a free trial before a Member pays for Paid Services. The scope and period of the free trial are set by the Company and shown on the service screens. ④ If the Company changes its fees, it will give notice on AWS Marketplace and the service screens at least 30 days before the change takes effect, and the changed fees apply from the usage period starting after that.
Article 10 (Withdrawal of Subscription and Refunds)
① As Paid Services are digital content whose provision begins upon payment, Members may not withdraw their subscription once provision has begun, in accordance with Article 17(2)(5) of the Act on the Consumer Protection in Electronic Commerce. The Company provides a free trial and informs Members of this before payment so that the exercise of the right of withdrawal is not impeded. ② The Company does not refund fees paid, and does not refund fees for the remaining period even if a Subscription is cancelled during a usage period. After cancelling a Subscription, Members may use Paid Services until the end of the usage period already paid for. ③ Notwithstanding paragraphs ① and ②, where a Member was unable to use Paid Services for reasons attributable to the Company, where the Paid Services differ from what was displayed or advertised or were performed differently from the contract, or in other cases provided by applicable laws, withdrawal or refund is available accordingly.
Article 11 (Obligations of Members)
① Members shall not engage in any of the following.

If an account has been or is suspected of being misused, the Member must change the password immediately and notify the Company.
Article 12 (Rights to Content)
① Members retain ownership of all intellectual property rights they hold in relation to their Content. The Company does not claim any rights to AI Outputs. ② The Company stores, copies and processes Content only to the extent necessary to provide the Services, and does not use Content to train artificial intelligence models. ③ Members warrant that the Content they enter into the Services does not infringe the intellectual property rights or other rights of third parties.
Article 13 (Restriction of Use)

However, where urgent action is required, the Company may notify the Member after the fact. ③ Members may file an objection to a restriction with the Company, and if the Company finds the objection justified, it will lift the restriction immediately.
Article 14 (Notifications and Advertising Information)
① If a Member has turned them on, the Company sends service notifications such as answer completion, confirmation requests, and completion or failure of workflow automation to the browser and mobile phone. Notifications do not include conversation content, and Members may turn them off at any time in "Settings › General › Notifications" or in their phone settings. ② The Company sends advertising information by email only to Members who have separately consented to receive it, and does not send it between 9 p.m. and 8 a.m. the next day. The Company destroys the Member's account and personal Content within 30 days. However, information that must be retained under applicable laws is kept for the required period and then destroyed. ③ An Organization used only by the Member is terminated together with the account deletion. If that Organization has a Subscription, it ends at the end of the usage period already paid for, and the Member must cancel the AWS Marketplace subscription separately on AWS Marketplace. ④ The sole Organization Administrator of an Organization with other members may delete their account after designating another member as Organization Administrator. Content shared with an Organization remains in the Organization, and the author information is removed. ⑤ When an Organization's Subscription ends or the Organization is terminated, the Company retains the Organization's data in read-only form for 30 days from that date, and Members may request a copy of their data through the contact point during this period. After 30 days, the Company destroys the Organization's data. ⑥ When the Company terminates the Service Agreement, it will notify the Member by email of the reason and the date of termination.
Article 16 (Termination of the Services)
